These Terms of Service constitute an offer, and acceptance is explicitly limited to these Terms.

The Terms and Conditions of Service outlined below are applicable to all products and services offered by The Savvy Squad. By engaging with The Savvy Squad, it is understood that the client/s have accepted and agreed to abide by these Terms and Conditions.

The headings in this agreement are provided solely for convenience and do not impose any limitations or alter the impact of these Terms in any way.

Copyright & Design Ownership

The Savvy Squad retains the copyright on all design work, including words, pictures, ideas, visuals, and illustrations, unless expressly released in writing. In the case of multiple design proofs, only one design is considered to fulfill the contractual agreement from The Savvy Squad. All other designs remain the property of The Savvy Squad unless there is a written agreement stating otherwise.
The Savvy Squad reserves the right to showcase completed artwork in future portfolios and/or participate in design or quality competitions.

Copyright & Ownership of Materials

By providing text, images, and other data to The Savvy Squad for inclusion in client design, websites, or other mediums, the client declares that it possesses the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the client or the rightful copyright or trademark owner. By supplying images, text, or any other data to The Savvy Squad, the client grants The Savvy Squad permission to use this material freely in the pursuit of the design.

In the event that The Savvy Squad or the client supplies an image, text, audio clip, or any other file for use in a website, multimedia presentation, print items, exhibition, advertisement, or any other medium, believing it to be copyright and royalty-free, but it subsequently emerges that there are copyright or royalty usage limitations, the client agrees to allow The Savvy Squad to remove and/or replace the file on the site. The client agrees to indemnify and hold The Savvy Squad harmless from any claims arising from the client’s failure to obtain all required copyright and/or other necessary permissions.

It is important to note that any breaches of the sub-license terms and conditions by the client are the sole responsibility of the client. The Savvy Squad shall is not held liable for any consequences resulting from such breaches. The client agrees to indemnify and hold The Savvy Squad harmless in the event of any claims or legal actions arising from their non-compliance with the sub-license terms.

Payment Terms

We collect a 50% deposit on the full project amount for locking projects into our schedule and commencement, once payment is cleared. We accept direct deposits to our bank account and auto direct debits for ongoing payments or subscriptions using a secure 3rd party software. Providing us a receipt of payment advances project progress. Credit card charges may apply. Final payments are made upon project completion. Orders will not commence until payments are cleared.

Quotes, Changes & Revisions

Please review the following important information regarding quoting, changes, and revisions for our products and services:

  1. Validity of Quotes: All quotes provided by The Savvy Squad for our products and services are valid for a period of 30 days from the date of issuance. After this period, we may need to reevaluate the project requirements and provide a new quote, as pricing and availability is subject to change.
  2. Design Projects and Time Estimates: For design projects, our quotes are based on the estimated time required to accomplish all the objectives and requirements that you have communicated to us. We take into account the complexity, scope, and intricacies of each project to determine an accurate estimate.
  3. Rounds of Changes: Each service we offer includes a specified number of rounds of changes, which may vary depending on the nature of the service. The details of the rounds of changes applicable to your project will be clearly stated in our quote or invoice.
  4. Definition of Changes and Revisions: Changes and revisions refer to minor edits, adjustments, and alterations to the artwork or concept within the agreed scope of work. These are typically intended to fine-tune the design and ensure it aligns with your preferences and requirements.
  5. Additional Work and Extra Quotes: If you request changes that go beyond the originally agreed scope of work or if you change your mind about certain design elements, we may need to provide you with an additional quote for the extra work involved. This ensures transparency and fair compensation for the additional time and resources required.
  6. Clear Instructions and Avoiding Extra Costs: To help streamline the design process and avoid unnecessary revision costs, we highly recommend providing clear and detailed instructions from the outset. Clearly communicating your vision, preferences, and any specific requirements will greatly facilitate the design process and minimize the need for extensive revisions.

Default Projects

An account with The Savvy Squad will be considered in default if it remains unpaid for 30 days from the invoice date. In such cases, The Savvy Squad reserves the right to remove client material from all computer systems until the outstanding amount has been fully paid. This includes unpaid fees for services such as hosting, domain registration, search engine submission, design, and maintenance. Please note that the removal of client material does not exempt clients from their responsibility to settle the outstanding payment.

Reignite fees (for all projects)

If a project with The Savvy Squad is or has been on hold for 20 business days or more due to delayed payments, feedback, revisions, or any outstanding tasks on the client’s end, a Reignite fee will be applied. The Reignite fee is as follows:
• For website projects: $149 (including GST)
• For graphic design projects: $99 (including GST)

This fee covers the time required for follow-ups, project revising, and rescheduling within our team roster.

Design Strike Offs, Proofing & End Products

At The Savvy Squad, we strive to provide the best design services and deliver high-quality end products to our clients. However, it is important to note the following regarding design drafts, mock-ups, proofs, and the final output:
1. Design drafts, mock-ups, and proofs serve as a guide only. Colors and resolution on proofs may vary slightly compared to the final product.
2. The colors and quality output of printed items, including clothing, merchandise, signage, stationary items, and more, can also depend on the supplier and the capabilities of their printers.
3. Our team puts in their best efforts to provide all end digital files that yield optimal results for print and supply.
4. Despite our best efforts, there may be slight differences between the end product and the provided proofs that are unavoidable.
5. Please note that we cannot be held accountable for any discolouration or variations in the final print output due to the specific printing machines used by our suppliers.
6. While we take great care to ensure typographical errors are corrected before presenting proofs to the client/s, it remains the sole responsibility of the client/s to thoroughly proofread all presented materials for any typographical errors prior to finalization.
7. The client/s acknowledges and agrees that The Savvy Squad shall not be held responsible for any final proofing of copy/text, and the client/s assumes full responsibility for the accuracy and quality of the content in the final product.

Our Products & Suppliers

We prioritise delivering exceptional designs and collaborate with trusted suppliers to provide high-quality printed products where needed.

  1. Product Quality: Certain factors may contribute to variations in the final outcome or printed items. We rely on our suppliers’ expertise to deliver products that meet our expectations.
  2. Damaged Products: In the unfortunate event that you receive a new product that is damaged, we kindly ask you to provide images and a description of the item. We will promptly communicate this information to our suppliers to address the issue and seek a satisfactory resolution.
  3. General Wear & Tear: Neither The Savvy Squad nor our partners/suppliers can be held responsible for general wear and tear of items or products. Normal use, exposure, or aging may result in expected wear and tear, which is beyond our control.
  4. Supplier Responsibility: While we have carefully selected our suppliers based on their reputation and ability to deliver quality items, it is important to acknowledge that we are not directly responsible for the outcome of every individual item. However, we take pride in our commitment to customer satisfaction and will actively engage with our suppliers to pursue fair compensation or resolution in situations where we deem it necessary.

Reselling and Merchandising

Our products and services are primarily intended for businesses that utilize them for promotional purposes. However, it’s important to note that reselling items as merchandise or for profit is not included within our standard service offerings.

Clients who engage in reselling our supplied products may be subject to different licensing terms, particularly for digital items and stock images. It is the responsibility of clients to inform us if they intend to use the items for reselling or merchandising purposes. Failure to do so will result in our standard licensing terms being applied.

Please be aware that we are not accountable for any breaches of copyright laws or trademarks resulting from client activities related to reselling or merchandising. Clients are solely responsible for ensuring that their use of our products complies with all relevant laws and regulations.

Additionally, we cannot be held responsible for any issues that may arise between our clients and their customers in relation to the reselling or merchandising of our products.
Finally, please note that we do not offer drop shipping or fulfillment services. Clients are responsible for managing their own shipping and fulfillment processes for any products they intend to resell or merchandise.

Indemnification

You agree to indemnify The Savvy Squad and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees and hold us harmless from and against any and all liabilities or expenses arising from or in any way related to your use of this Website or the Services or information offered on this Website, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and solicitors fees of every kind and nature incurred by you or any third parties through you.

Termination

These Terms of Service will remain effective unless terminated by either you or The Savvy Squad. You have the option to terminate these Terms of Service at any time by notifying us of your intention to no longer use our Services or by ceasing to use our website. If, at our sole discretion, we determine that you have failed to comply with any term or provision of these Terms of Service or if we suspect such non-compliance, we reserve the right to terminate this agreement without prior notice. In such cases, you will be responsible for any outstanding amounts owed up to the date of termination, and we may deny you access to our Services, in whole or in part.

We have the right to update, modify, or replace any portion of these Terms of Service at our sole discretion. Any updates or changes will be posted on our website.
